TERMS OF SERVICE AGREEMENT

This Terms of Service Agreement ("Agreement") is entered into between Engine House Solutions Limited, also known as Engine House Marketing, a company registered under the laws of the United Kingdom with company number 09880979, having its registered address at Office 8, North Courtyard, Woodlands, Bradley Stoke, Bristol BS32 4NQ ("Company"), and the users of the Company's software as a service reseller and digital marketing agency ("User" or "Users").

1. ACCEPTANCE OF TERMS By accessing or using the services provided by Engine House Solutions Limited, Users agree to be bound by the terms and conditions outlined in this Agreement. Users must read, understand, and accept all the provisions set forth in this Agreement before using the services.

2. DESCRIPTION OF SERVICES Engine House Solutions Limited operates as a software as a service reseller and digital marketing agency. The Company offers a range of marketing services and software solutions ("Services") to Users. The Services may include, but are not limited to, website development, digital advertising, email marketing, and social media management.

3. USER'S OBLIGATIONS Users agree to comply with all applicable laws and regulations related to their use of the Services. Users shall not use the Services for any illegal or unauthorized purposes. Users are solely responsible for the content they publish or distribute through the Services and shall ensure that their content does not infringe upon the rights of any third party.

4. FEES AND PAYMENT Users agree to pay all fees associated with the use of the Services as specified by Engine House Solutions Limited. All fees shall be paid in the currency agreed upon by the Company and the User. Unless otherwise stated, all fees are non-refundable.

5. INTELLECTUAL PROPERTY RIGHTS All intellectual property rights, including copyrights and trademarks, related to the Services provided by Engine House Solutions Limited remain the property of the Company. Users shall not reproduce, modify, distribute, or create derivative works based on the Services without the express written consent of the Company.

6. THIRD-PARTY SERVICES Users understand and acknowledge that certain Services provided by Engine House Solutions Limited are based on underlying software platforms. Users agree to abide by the respective terms of service of these software platforms, including but not limited to the terms of service of High Level (https://www.gohighlevel.com/terms-of-service).

7. DISCLAIMER OF WARRANTIES Engine House Solutions Limited makes no warranties or representations regarding the Services provided. The Services are provided on an "as-is" and "as available" basis. The Company disclaims all warranties, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. LIMITATION OF LIABILITY In no event shall Engine House Solutions Limited be liable for any indirect, special, incidental, punitive, or consequential damages arising out of or in connection with the use or performance of the Services, even if the Company has been advised of the possibility of such damages.

9. GOVERNING LAW AND JURISDICTION This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising out of or related to this Agreement shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.

By using the Services provided by Engine House Solutions Limited, Users acknowledge that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.
